Terms of Use

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“you,” “your,” “Member,” or “User”) and Heart & Harbor, LLC, a New Hampshire limited liability company (“Heart & Harbor,” “Company,” “we,” “us,” or “our”), governing your access to and use of Navigate Heart Health, including all related websites, communities, courses, services, features, and content (collectively, the “Services”).

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Eligibility

The Services are intended for individuals eighteen (18) years of age or older. By using the Services, you represent and warrant that you meet this eligibility requirement.

2. Nature of the Services

Heart & Harbor provides access to community membership, peer support, educational courses, lifestyle resources, and optional meal planning services. Certain areas of the Services are available free of charge; others require payment of a subscription fee.

The Services are provided solely for educational and informational purposes. The Services do not provide medical advice, diagnosis, or treatment and are not a substitute for professional medical care. You should always seek the advice of your physician or other qualified health provider regarding any questions you may have about a medical condition.

3. Accounts and Memberships

  1. Registration. To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to maintain and promptly update such information.

  2. Subscriptions. Paid memberships (including “Navigate Together: A Guided Journey” and any add-ons) are billed monthly or annually through Stripe.

  3. Refunds and Cancellations. All payments are non-refundable. You may cancel your subscription at any time to prevent future charges. You will retain access through the end of your current billing cycle.

  4. Non-Transferability. Memberships are personal to you and may not be assigned, transferred, or shared.

4. User Content

  1. Ownership. You retain ownership of all content you post, submit, or otherwise make available through the Services (“User Content”).

  2. License. By posting User Content, you grant Heart & Harbor a limited, non-exclusive, royalty-free license to display and use such content within the Services for community purposes.

  3. External Use. Heart & Harbor will not use your User Content for external marketing, publicity, or promotional purposes without your express written consent.

  4. Responsibilities. You are solely responsible for your User Content. You should not post content you are not comfortable sharing publicly within the community. You must not post identifiable health information about other individuals.

  5. Removal. Heart & Harbor reserves the right, in its sole discretion, to remove any User Content that violates these Terms or that it deems inappropriate.

5. Code of Conduct

When using the Services, you agree not to:

  • Harass, threaten, or abuse any other User.

  • Post spam, solicitations, or commercial promotions.

  • Provide or solicit medical advice, diagnoses, or treatment recommendations.

  • Infringe the intellectual property rights of Heart & Harbor or any third party.

  • Otherwise violate applicable laws or regulations.

Heart & Harbor reserves the right to suspend or terminate any account that violates these provisions.

6. Intellectual Property

  1. Company Content. All courses, materials, graphics, guides, videos, branding, and other content provided by Heart & Harbor (“Company Content”) are the exclusive property of Heart & Harbor and are protected under intellectual property laws.

  2. Limited License. Heart & Harbor grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Company Content for your personal, non-commercial purposes while you are an active Member.

  3. Restrictions. You may not copy, reproduce, distribute, modify, publicly display, create derivative works from, or otherwise exploit Company Content. Access to Company Content terminates when your membership ends.

7. Payments

  • Payments are processed securely via Stripe.

  • At this time, we do not offer free trials.

  • Heart & Harbor may, in its discretion, introduce discounts, promotions, or gift memberships in the future under additional terms.

8. Disclaimers and Limitation of Liability

  1. Disclaimer. The Services are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

  2. Limitation of Liability. To the maximum extent permitted by law, Heart & Harbor’s total liability to you for any claim arising out of or relating to the Services shall not exceed the total amount you paid to Heart & Harbor in the twelve (12) months preceding the claim.

  3. Exclusion of Damages. Heart & Harbor shall not be liable for any indirect, incidental, consequential, special, or exemplary damages, including but not limited to lost profits, reputational harm, or emotional distress.

9. Termination

Heart & Harbor may suspend or terminate your account, with or without notice, if you violate these Terms or engage in conduct that Heart & Harbor determines to be harmful to the community. Termination does not entitle you to any refund.

10. Third-Party Services

The Services rely on third-party providers, including but not limited to Mighty Networks (community hosting), Stripe (payment processing), EatLove (meal planning), Kit (email marketing), Typeform/Tally (surveys), and Google Workspace (business operations). Your use of these services is subject to their respective terms and policies. Heart & Harbor is not responsible for the acts, omissions, content, or services of such third parties.

11. Governing Law and Dispute Resolution

  1. Governing Law. These Terms are governed by and construed in accordance with the laws of the State of New Hampshire, without regard to conflict of law principles.

  2. Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved exclusively by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Rockingham County, New Hampshire, unless otherwise agreed.

  3. Class Action Waiver. You agree that any arbitration or proceeding shall be limited to the dispute between you and Heart & Harbor individually. You waive the right to participate in any class, collective, or representative action.

12. Modifications to Terms

Heart & Harbor reserves the right to modify or update these Terms at any time in its sole discretion. Material changes will be communicated by email or by posting a notice within the Services. Your continued use of the Services after such changes become effective constitutes your acceptance of the revised Terms.

13. Miscellaneous

  • Severability. If any provision of these Terms is held invalid, the remaining provisions shall remain in full force and effect.

  • Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Heart & Harbor regarding the Services.

  • Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Heart & Harbor may assign its rights and obligations without restriction.

  • Waiver. No waiver of any provision shall be deemed a further or continuing waiver of such provision or any other provision.
